Business Torts (Breach of Contract, Fraud, Conspiracy)
Business tort cases involve wrongdoing by an individual or business against another person who is involved in a business relationship with the wrongdoer. Examples of business tort cases handled at our office include:
- Breach of contract
- Fraud
- Conversion
- Intentional interference with business or contractual relations
- Other intentional acts
- Conspiracy to defraud
- Defamation, slander, harm to business reputation
A breach of contract occurs when a party to a contract fails to perform any term of a written or oral contract, without a legitimate legal excuse. This may include not completing a job, not paying in full or on time, failing to deliver all the goods, substituting inferior or significantly different goods, not providing a bond when required, being late without excuse, or any act which shows the party will not complete the work ("anticipatory breach"). Breach of contract is one of the most common causes of lawsuits for damages and/or court-ordered "specific performance" of the contract.
Fraud involves the intentional use of deceit, a trick or some dishonest means to deprive another of money, property or a legal right. A party who has lost something due to fraud is entitled to file a lawsuit for damages against the party acting fraudulently, and the damages may include punitive damages. Some types of fraud include: failing to point out a known mistake in a contract or other writing (such as a deed), or not revealing a fact which one has a duty to communicate.
A Conspiracy is an agreement to commit an illegal act. A conspiracy may exist when the parties use legal means to accomplish an illegal result, or use illegal means to achieve something that in itself is lawful. To prove a conspiracy, those involved must have agreed to the plan before all the actions have been taken.
